These Terms of Service ("Terms") govern your use of Fern, an AI-powered proposal generation service operated by East Grand Labs ("we," "us," or "our") at fern.tools. By creating an account or using Fern, you agree to these Terms.

Service description

Fern is an AI-powered proposal generator designed for freelancers and agencies. You provide your brand profile and client inquiry text, and Fern uses a multi-agent AI system to generate professional, branded proposals that you can review, edit, and send to your clients.

Account terms

  • You must be at least 18 years old to create an account and use Fern.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

Free tier

Every new account receives 2 free proposals with no credit card required. Free proposals include the full feature set: AI generation, branded PDF export, and email delivery. Once your free proposals are used, you will need to subscribe to Fern Pro to generate additional proposals.

Fern Pro subscription

Fern Pro is available at $20 per month and includes unlimited proposals along with all features. Your subscription details:

  • Billing is handled through Stripe. Your payment information is processed and stored securely by Stripe — we never see or store your full card number.
  • You may cancel your subscription at any time through the Stripe customer portal. Cancellation takes effect at the end of your current billing period.
  • There are no refunds for partial billing periods. You will retain access to Fern Pro features until your current period ends.
  • We reserve the right to change pricing with 30 days advance notice. Existing subscribers will be notified by email before any price change takes effect.

Acceptable use

You agree not to use Fern to:

  • Generate proposals containing illegal, fraudulent, or misleading content.
  • Send unsolicited or spam proposals to recipients who have not inquired about your services.
  • Abuse, overload, or interfere with the Fern service or its infrastructure.
  • Attempt to access other users' data or accounts.
  • Reverse engineer, decompile, or attempt to extract the source code of the Fern service.
  • Use Fern in any way that violates applicable laws or regulations.

AI-generated content

Proposals generated by Fern are created using artificial intelligence. While we strive for accuracy and quality, you acknowledge and agree that:

  • AI-generated proposals may contain errors, inaccuracies, or content that does not fully reflect your intentions.
  • You are solely responsible for reviewing, editing, and approving all proposal content before sending it to a client.
  • Fern does not guarantee that proposals will win you business or that pricing suggestions are appropriate for your market.
  • You own the content of proposals you generate, but Fern retains the right to use anonymized, aggregated data to improve the service.

Limitation of liability

To the maximum extent permitted by applicable law:

  • Fern is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
  • We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.
  • In no event shall East Grand Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
  • Our total liability to you for any claims arising from your use of Fern shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the service. Your continued use of Fern after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using Fern and delete your account.

Governing law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of Fern shall be resolved in accordance with applicable law.
